General Platform Terms

1. Registration and Account

In order to use the services of Sphere, you must register and create an account. Registration implies acceptance of these general terms. Sphere reserves the right to suspend or cancel an account at any time for breach of these terms.

2. Age Requirements

The use of Sphere is reserved for persons over 18 years of age. Sphere is not responsible for the accuracy of the age provided by users.

3. Permitted and Prohibited Use

The use of the platform must respect applicable laws and the rights of third parties. It is prohibited to use the platform for illegal, defamatory, offensive, violent, racist, sexist or hate-promoting activities. It is also prohibited to publish content that violates the privacy of third parties or includes copyrighted material without authorization.

4. Sphere's Role as an Intermediary

Sphere acts as an intermediary and is not part of the buyer-seller contract between the buyer and the seller. Sphere does not store goods, does not have its own inventory, does not sell its own products, and does not manage delivery. The seller is fully responsible for shipping, delivery, packaging, and product compliance. Sphere does not respond for delivery or product compliance.

5. Intellectual Property of the Platform

The contents, designs, logos, brands, texts, images, videos and other elements of the Sphere platform are exclusive property of the company and are protected by copyright and trademarks. Their use without authorization is prohibited.

6. License on User-Uploaded Content

The user retains full ownership of the rights over the content they publish. By uploading content to Sphere, the user grants Sphere a worldwide, non-exclusive, free and transferable license only to service providers of the same platform, to host, store, reproduce, technically adapt, distribute and publicly display such content, with the sole purpose of operating and providing Sphere's services.

This license remains while the content is published and ends when the user deletes it, with two reasonable exceptions: the content that other users have shared or saved may continue to be displayed to those users, and copies may be retained in backup systems for the usual technical retention period, as well as when retention is required by a legal obligation or an ongoing procedure.

7. Suspension and Closure of Accounts

Sphere reserves the right to suspend or close an account at any time, without prior notice, for breach of these terms, for suspicious activity or for legal reasons.

8. Limitation of Liability

Sphere will not be liable for direct, indirect, special, consequential or incidental damages that may arise from the use of the platform, from service interruption, data loss or the inability to access the platform.

9. Modifications

Sphere reserves the right to modify, suspend or discontinue the services at any time, notifying users in advance in case of significant changes.

10. Applicable Law and Dispute Resolution

These terms are governed by the applicable legislation of the free zone Ras Al Khaimah Economic Zone Authority (RAKEZ) in which Sphere is licensed, and, subsidiarily, by the federal laws of the United Arab Emirates.

Any dispute arising from these terms or related to them shall be submitted to the competent courts of Ras Al Khaimah Economic Zone Authority (RAKEZ), United Arab Emirates, with express renunciation of any other jurisdiction that may apply.

The treatment of personal data is also governed by the Personal Data Protection Law of the United Arab Emirates (Federal Decree-Law 45/2021) and is detailed in the Privacy Policy and the Cookie Policy.
